These Terms and Conditions govern your access to and use of avely.me, including our website, hosted profile pages, paid plans, analytics, uploads, imports, and related services, collectively referred to in these Terms as the Service. The Service is operated by Exastudio, Via Cumana 11, Frattamaggiore (NA), Italy, Napoli 80027, Italy, referred to in these Terms as Avely, we, us, or our.

By accessing or using the Service, creating an account, publishing a profile, or purchasing a paid plan, you agree to these Terms. If you do not agree, do not use the Service.

These Terms should be read together with our Privacy Policy and Cookie Policy.

Eligibility and Accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you can enter into a binding agreement.

• Provide accurate, current, and complete registration information
• Keep your login credentials secure and confidential
• Promptly update your information if it changes
• Accept responsibility for activity that occurs under your account

You may not access accounts, data, or areas of the Service that you are not authorized to use.

Profiles, Handles, and Public Pages

Avely allows you to create a public profile, choose a handle, publish content, and share links or media. Public pages may be visible to anyone on the internet and may be indexed, cached, copied, or shared by third parties.

• You are responsible for the accuracy and legality of your profile and links
• You should keep your own backups of content and account data
• Handles are provided subject to availability and do not create ownership rights
• We may refuse, reclaim, or require a handle change to address impersonation, trademark claims, abuse, inactivity, legal requirements, or Service integrity

Your Content and License

You retain ownership of the content you submit, upload, import, or publish through the Service, referred to in these Terms as User Content. You are solely responsible for User Content and for making sure you have all rights, permissions, consents, and legal bases needed to use it.

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, display, transmit, and distribute your User Content only as needed to operate, secure, maintain, and improve the Service and to make your public profile available as you direct.

We do not claim ownership of your User Content, but we may remove or restrict access to it if we reasonably believe it violates these Terms, applicable law, or the rights of others.

Acceptable Use

You agree not to use the Service to:

• Break the law or encourage unlawful, fraudulent, or deceptive conduct
• Upload or share infringing, defamatory, hateful, abusive, or misleading content
• Impersonate another person, brand, or organization
• Spread spam, malware, malicious code, or harmful redirects

Third-Party Services and External Content

The Service may let you connect or display content from third-party services, including social platforms, video platforms, calendar tools, payment providers, and external websites. Your use of those third-party services remains subject to their own terms and privacy policies.

We are not responsible for third-party services, availability, content, security, or business practices. If you import or display third-party content through Avely, you remain responsible for ensuring you are allowed to do so.

Paid Plans, Billing, and Cancellation

Some features of the Service require payment. Prices, billing cadence, and plan features are shown on the Service or at checkout.

• By purchasing a paid plan, you authorize us and our payment processor to charge the applicable fees and any taxes shown at checkout
• Paid plans may renew automatically on a recurring basis unless cancelled before the applicable renewal date
• Unless required by law or expressly stated otherwise at checkout, fees are non-refundable
• If you cancel or downgrade, changes generally take effect at the end of the current billing period unless we state otherwise
• We may change pricing or plan features prospectively, and any change will apply no earlier than a future billing cycle

Our Intellectual Property

Except for your User Content and third-party content, the Service and its software, design, interface, branding, trademarks, logos, text, graphics, and related materials are owned by or licensed to Avely and are protected by applicable intellectual property laws.

These Terms do not grant you any right to use our name, logos, trademarks, or other brand features except as strictly necessary for permitted use of the Service.

Availability, Changes, and Support

We may modify, update, suspend, or discontinue any part of the Service at any time, including features, limits, integrations, or availability. We may also perform maintenance, security updates, or emergency changes without notice where reasonably necessary.

We are not obligated to maintain any specific feature, storage level, integration, or compatibility with third-party platforms.

Suspension and Termination

We may suspend, restrict, or terminate your access to the Service, remove content, or disable public pages if we reasonably believe that:

• You violated these Terms or applicable law
• Your use creates security, legal, reputational, or operational risk
• We receive a valid complaint or legal request regarding your account or content
• Payment for a paid plan fails or is reversed

You may stop using the Service at any time. Sections that by their nature should survive termination will continue to apply, including sections on payments due, intellectual property, disclaimers, liability, and governing law.

Disclaimers

To the maximum extent permitted by law, the Service is provided on an as is and as available basis. We do not guarantee that the Service will be uninterrupted, error-free, secure, or always available, or that content, links, imports, or analytics will always be accurate, complete, or current.

You are responsible for reviewing and verifying the content, destinations, and use of any public page you publish through the Service.

Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or your mandatory consumer rights.

Subject to the previous paragraph, to the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunities arising out of or related to the Service.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or related to the Service will not exceed the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim or EUR 100.

Responsibility for Violations

To the maximum extent permitted by law, you are responsible for claims, losses, damages, and costs that arise from your User Content, your misuse of the Service, your violation of these Terms, or your violation of the rights of another person.

Governing Law and Disputes

These Terms are governed by the laws of Italy, excluding its conflict of laws rules. If you are a consumer, you also benefit from any mandatory protections under the laws of the country where you live.

If you are using the Service in the course of business, any dispute arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Naples, Italy.

Changes to These Terms

We may update these Terms from time to time. When we do, we will publish the revised version on this page and update the Last Updated On date above. If you continue to use the Service after the updated Terms take effect, you agree to the revised Terms.
